Terms and conditions

Terms and conditions last updated on 28 March 2024

1. Introduction

These terms and conditions apply to this website and transactions relating to our products and services. Additional contracts may govern your relationship with us or products or services received. If their provisions conflict with these terms, the provisions of those additional contracts prevail.

2. Binding effect

By registering, accessing or otherwise using this website, you agree to be bound by the following terms and conditions. Use of the site implies knowledge and acceptance of them. In particular cases we may also request express agreement.

3. Intellectual property

We or our licensors own and control all copyright and other intellectual property rights in the website and the data, information and other resources displayed or accessible within it.

3.1 All rights reserved

Unless otherwise stated for specific content, you receive no licence or other right under copyright, trade marks, patents or other intellectual property rights. You may not use, copy, reproduce, perform, display, distribute, incorporate into electronic media, alter, decompile, transfer, download, transmit, monetise, sell or commercialise website resources without our prior written permission, except to the extent provided by mandatory law, such as rights of quotation.

4. Third-party property

The site may include links or references to third-party websites. We do not control or review their content. Their products and services are subject to their own terms. We do not necessarily share or endorse the views or material appearing on those sites.

We are not responsible for those sites’ privacy practices or content. You bear the risks of using them and their linked services. We accept no liability for losses or damage resulting from your disclosure of personal information to third parties.

5. Responsible use

You agree to use the site only for its intended purposes and as permitted by these terms, additional agreements, applicable laws and regulations, generally accepted online practices and industry guidelines. You may not use it to use, publish or distribute malicious software, use data collected from it for direct marketing, or conduct systematic or automated data collection on or in relation to the site.

Any activity causing or potentially causing damage to the site or interfering with its performance, availability or accessibility is strictly prohibited.

6. Submission of ideas

Do not submit ideas, inventions, original works or information you consider your own intellectual property unless we have first signed an intellectual property or non-disclosure agreement. If you disclose it without such a written agreement, you grant us a worldwide, irrevocable, non-exclusive, royalty-free licence to use, reproduce, store, adapt, publish, translate and distribute your content in any existing or future media.

7. Termination of use

We may, at our sole discretion, modify or discontinue access to the site or its services at any time, temporarily or permanently. You agree we are not liable to you or third parties for modifying, suspending or terminating access, use or content you have shared. No compensation is due even if features, settings or content you contributed or relied on are permanently lost. You may not circumvent or attempt to circumvent access restrictions.

8. Warranties and liability

Nothing in this section limits or excludes a statutory warranty where doing so would be unlawful. The site and its content are provided “as is” and “as available” and may contain inaccuracies or typographical errors. We expressly disclaim express or implied warranties concerning availability, accuracy or completeness. We do not warrant that:

  • the site or its content will meet your requirements;
  • the site will be available uninterrupted, promptly, securely or without error.

The following provisions apply to the maximum extent permitted by law and do not limit or exclude liability where that would be unlawful. We are not liable for direct or indirect damage, including lost profits or revenue, loss or corruption of data, software or databases, or damage to property or data, suffered by you or a third party arising from access to or use of the site.

Unless an additional contract expressly states otherwise, our maximum liability for damage arising from or relating to the site or products or services marketed through it, regardless of the legal basis—contract, equity, negligence, intentional conduct, tort or otherwise—is limited to the total price you paid us for those products or services or for using the site. This limit applies collectively to all your claims and actions.

9. Privacy

Access to the site or services may require personal information as part of registration. You agree that information supplied will always be accurate, correct and current.

We have developed a policy addressing privacy concerns. For more information, consult our privacy statement and our Cookie policy.

10. Export restrictions and legal compliance

Access from territories where the content or purchase of products or services is unlawful is prohibited. You may not use the site in violation of Italian export laws and regulations.

11. Assignment

You may not assign, transfer or subcontract any rights or obligations under these terms, wholly or partly, to third parties without our prior written consent. Any purported assignment contrary to this section is void.

12. Breaches of these terms

Without prejudice to our other rights, if you breach these terms we may take appropriate action, including temporarily or permanently suspending access, asking your internet provider to block access and/or taking legal action.

13. Indemnification

You agree to indemnify, defend and hold us harmless against claims, liabilities, damages, losses and expenses relating to your breach of these terms and applicable law, including intellectual property and privacy rights. You will promptly reimburse related damage, losses, costs and expenses.

14. Waiver

Failure to enforce any provision of these terms or another agreement, or to exercise a termination option, is not a waiver and does not affect their validity or the subsequent right to enforce each provision.

15. Language

These terms and conditions shall be interpreted exclusively in Italian and English. All notices and correspondence shall be written exclusively in those languages.

16. Entire agreement

These terms, together with our privacy statement and cookie policy, constitute the entire agreement between you and Studio Legale Avvocato Massa Patrizia regarding your use of the site.

17. Updating these terms

We may update these terms periodically. You must check them for changes. The initial date indicates the latest revision. Changes take effect on publication. Continued use after publication will be treated as notification of your acceptance to comply with and be bound by the updated terms.

18. Governing law and jurisdiction

These terms are governed by Italian law. Related disputes fall within the jurisdiction of Italian courts. Any provision held invalid or unenforceable will be modified, deleted or applied to the maximum extent permitted to give effect to the terms’ intent. Other provisions remain unaffected.
